Terms & software licence

These terms apply to the CardinalDL website, account and software supplied by Cardinal Labs, identified on the company information page . The confirmed offer defines your services, licence period, download limits, price and delivery arrangements. Mandatory legal rights take priority over these terms.
1. Accounts
One CardinalDL account is used for the website and downloader. Creating an account is free and does not activate a paid licence. Provide accurate information, keep your credentials secure and tell us promptly if you suspect unauthorised access. You must have legal capacity to enter into the contract or appropriate authorisation to act for your organisation.
Your account and licence are for the authorised user or organisation in the confirmed offer. Sharing credentials, reselling access or transferring a licence requires our agreement unless applicable law gives you a right to do so. Agreed device allowances continue to apply.
2. Quotes and orders
The package builder prepares a selection and price estimate. Sending it to sales, opening a chat or registering an account is a request for an offer, not a purchase or obligation to pay. A contract is concluded only when an explicit offer with the total payable price and these terms is accepted through the agreed ordering process. The confirmation states payment, activation, term, tax treatment and any separately priced extras. Do not make payment against an unconfirmed configuration.
3. Software licence
For the agreed licence period, Cardinal Labs grants a limited, non-exclusive licence to install and use CardinalDL on your authorised devices for the services and allowances you purchased. This is a licence to software, not a transfer of ownership. Cardinal Labs and its licensors retain their intellectual property rights.
You may not remove ownership notices, distribute unauthorised copies, sell access, defeat licence checks or use the software to compromise systems. Restrictions on modification, reverse engineering or interoperability do not restrict rights that applicable law makes non-excludable. Separate open-source licences govern components supplied under those licences.
4. Authorised use and content rights
Use CardinalDL only for content and actions you are legally authorised to access and perform. You must obtain and maintain any required streaming account, subscription, permission and content rights. CardinalDL does not provide them. A streaming subscription alone does not necessarily permit downloading with third-party software.
You must comply with applicable copyright, access-control and other laws and your enforceable obligations to third-party services. Do not use CardinalDL for unauthorised access, unlawful circumvention of technological protection measures, infringement, public distribution or commercial exploitation of protected content. Descriptions of technical compatibility are not legal permission or advice. A private-copying exception, where one exists, is not a blanket permission to bypass protection.
You are responsible for your own unlawful acts to the extent provided by law. This responsibility does not exclude liability that Cardinal Labs itself has under applicable law.
5. Services, bundles and extras
Individual plans cover the selected service. Pick bundles cover the eligible services selected within the package allowance. Pick selections may be changed once per billing period. The Anime Bundle covers the services listed in its current offer.
All-in-One covers supported services, including newly supported services during the active term, except services or upgrades clearly identified as excluded when introduced. Movies Anywhere is a separately priced extra and can be added to All-in-One or another eligible package; its price is added to the package price. It is not included in the bundle's base price or Pick service count. The Netflix 4K upgrade is also separately priced and is not included in All-in-One or Pick bundles.
Base daily download allowances and upgrades apply per service. Netflix 4K has its own monthly allowance. Movies Anywhere has one monthly allowance shared across available 1080p and 4K downloads. The confirmed offer states the applicable quantities and any exceptions. Unused allowances do not carry over unless expressly agreed.
6. Quality and compatibility
“Up to 4K” and “up to 1080p” describe the maximum supported output, not a promise that every title or account will offer that resolution. Available quality, audio, subtitles and formats can depend on the title, service, subscription tier, region, device, software version and third-party changes. Check the documented system requirements and the service details before accepting an offer.
Streaming providers operate independently and may change or restrict their systems. We do not guarantee permanent compatibility with every title or uninterrupted third-party availability. These qualifications do not remove the contractual features we promised or your statutory remedies if the software fails to conform to the contract.
7. Licence period, renewals and updates
Access starts on the activation date in the confirmation and continues for the agreed term. A licence does not renew automatically unless you separately and explicitly agree to recurring billing, its price and cancellation conditions. A monthly, annual or two-year price alone is not authorisation for recurring charges.
The offer must state the period of software updates and support. For consumers, necessary updates, including security updates, are supplied for the period required by applicable digital-content law. Follow installation instructions for updates needed to maintain conformity. We will inform you of material effects before changes; changes to an active consumer contract follow applicable notice, justification and termination requirements.
8. Refund policy and consumer rights
Cardinal Labs does not offer discretionary or goodwill refunds for a change of mind, non-use, an incorrect package selection or unused download allowances. This policy applies only where permitted by law. It does not restrict any mandatory consumer rights or remedies.
Consumers retain the legal guarantee of conformity for digital content and digital services. The software must meet the agreed and legally required functionality, compatibility, security and other requirements. Depending on applicable law, you may require a fault to be remedied, receive a proportionate price reduction or terminate the contract and receive reimbursement. These statutory remedies remain available regardless of this refund policy.
Report a problem through support with your CardinalDL version, operating system, affected service and a description of the failure. Share only information needed to investigate and redact streaming credentials and unnecessary personal data.
9. Suspension and termination
Access may be restricted where reasonably necessary for security, non-payment of an agreed amount, serious misuse or a material breach of these terms. Restrictions must be proportionate. Where lawful and practicable, we will explain the reason, allow you to respond and provide an opportunity to correct a remediable breach. Immediate action may be necessary to stop active abuse or meet a legal obligation. Contact support to request review.
Termination does not automatically forfeit prepaid fees. Any refund, price reduction or other remedy required by the contract or mandatory law remains available. On expiry or valid termination, use of the licensed software must stop except to the extent law or a separate agreement permits continued use.
10. Liability
Nothing in these terms excludes or limits liability for fraud, intentional wrongdoing, gross negligence, death or personal injury caused by negligence, mandatory product liability, or other liability that applicable law does not allow us to exclude or limit. Statutory consumer rights and remedies are preserved.
Subject to those protections and only where permitted by applicable law, Cardinal Labs is not responsible for loss caused by your unlawful use, third-party accounts, unauthorised modifications or failure to follow reasonable security instructions, to the extent the loss was not caused by our breach or fault. Liability for ordinary negligence may be limited to foreseeable loss typical of the contract where legally permitted; essential contractual obligations remain enforceable. You should maintain appropriate backups. This does not transfer our legal duties to you.
11. Third parties and trademarks
CardinalDL is independent of the streaming services it supports. Service names, artwork and trademarks belong to their owners. Compatibility references do not mean that a provider sponsors, endorses or authorises CardinalDL. Third-party subscriptions and terms remain separate.
12. Privacy and chat
The privacy notice explains account, licensing and support data. Chat message bodies are encrypted between participating devices, but account information, conversation subjects, quote details and message metadata are not end-to-end encrypted. The intended support participant can read messages after unlocking their key. Keep your chat passphrase and encrypted recovery file safe; account password recovery does not recover a lost chat passphrase.
13. Applicable rights and changes
No provision requires a consumer to give up mandatory protections or access to courts available under applicable law, including protections of their habitual residence where those apply. If a provision is unenforceable, mandatory law applies in its place; the rest continues only to the extent lawful. Updated terms apply to future agreements. Material changes to an existing agreement require a lawful basis and any notice or agreement required by law.
